Heads of Terms (HOTs) or Letter of Intent (LOI) essentially serve the same purpose and are none-binding agreements that set out the basis of the deal that has been agreed and accepted by both parties in general terms. However, some parts of the documents are legally binding such as, exclusivity and confidentiality, for example. Exclusivity is the timescale in which Due Diligence will be carried out. The heads are typically drawn up by the acquirers legal representative.
